SomnoMed's brand asset usage rights agreement

This agreement has been prepared for partners that would like to use SomnoMed’s photos, logos, videos and other brand assets online and offline.

By filling and signing this form below you hereby acknowledge and confirm that you have carefully read, understood, and agree to comply with the terms and conditions specified herein.

1. Description of Assets: This covers materials such as images, logos, videos, brochures and other items produced by SomnoMed and under their copyright.
2. Usage Purpose: Assets should be used to positively promote treatment of OSA, Dental Sleep Medicine and SomnoMed. You acknowledge that SomnoMed may request you to remove the image or brand assets, and that you will comply, if the assets are used for any other purpose.   
3. Territory: You understand and acknowledge that you are permitted to use the granted usage rights solely within the jurisdiction of the US, in accordance with the terms outlined in the Agreement.
4. Usage Limitations: You commit to utilizing the photos, videos, logos and other assets solely for the purposes explicitly stated in the Agreement. You will refrain from transferring, sublicensing, or modifying the photos, logos or other assets without obtaining the prior written consent of SomnoMed.
5. Compensation: You acknowledge that the usage rights granted to you are provided without any form of compensation, as detailed in the Agreement.
6. Copyright: You affirm that SomnoMed is the rightful owner of the copyright to the provided assets, or possesses the necessary permissions to grant usage rights within the US.
7. Indemnification: You hereby agree to indemnify and hold SomnoMed harmless from any claims, liabilities, losses, or damages that may arise due to my usage of the photos, logos, videos and other assets in violation of the Agreement.
